The private equity-backed financial institution that bought PremierWest Bank two years ago now is being acquired by Walla Walla, Wash.-based Banner Corp. The holding company for Banner Bank and Islander Bank announced it will buy Spokane, Wash.-based AmericanWest Bank for approximately $702 million. SKBHC Holdings LLC and Starbuck Bancshares Inc. shareholders will receive 13.23 million shares of Banner common stock and $130 million in cash. The transaction is expected to close during the second quarter of 2015. Once the deal is approved by Banner shareholders and regulators, AmericanWest's owners will possess a 38.8 percent ownership stake in Banner. Just last month, AmericanWest owners announced it would buy Bank of Sacramento, pushing its assets to $4.5 billion with 99 offices. Banner, which bills itself as a "super community bank," will have $9.7 billion in assets, $6.8 billion in loans and $7.9 billion in deposits with roughly 190 branches in five states. Banner has 29 locations in Oregon, including six former Sterling Savings offices in Coos and Douglas counties it acquired when Umpqua Holdings bought the Spokane, Wash., firm earlier this year. Banner said its combined holdings give the firm a presence in nine of the top Western Metropolitan Statistical Areas by population. AmericanWest has nine Jackson County branch offices and two in Josephine County. In the fall of 2013, Banner tried to gain Oregon and Idaho territory by acquiring Home Federal bank but was outbid by Bank of the Cascades. "In addition to being a good geographic fit, the combination is anticipated to result in considerable operating synergies," Banner President and CEO Mark Grescovich said. " We expect this merger to provide significant benefits to our expanded group of clients, communities, shareholders and employees." Following the merger, Banner will continue to be led by Grescovich. Five representatives from AmericanWest will join the Banner board of directors at closing, increasing the total number of directors to 17. SKBHC Holdings LLC and Starbuck Bancshares Inc., owned by a relatively small group of investors, fared far better than former PremierWest shareholders, who received $20 million for their holdings in Oregon and California back in 2012. SKBHC Holdings, led by Scott Kisting, purchased AmericanWest out of U.S. Bankruptcy Court for the Eastern District of Washington for $6.5 million 2011. Thereafter, the group — which raised $750 million — strategically acquired struggling banks. Banner Corp. shares trade on the Nasdaq market. On Wednesday shares gained 62 cents, closing at $43.63.
