SUBJECT: Billy Carter's Libyan Delegation Goodwill Tour
' As we discussed last week, I attended the Libyan
goodwill tour briefing at the Omni on Tuesday, January 9th
A copy of the agenda is attached.
The Libyan delegation consisted of about 20 people
from all sectors of the Libyan economy. I am getting a
copy of the list of attendees later. My impression was
this was more a cultural and goodwill exchange rather than
a trading trip per se.
I visited with some of their people individually and
left a set of our sales information packet with them. I
don't know what will come from it in a commercial sense
"since the emphasis was on cultural and goodwill aspects of
life rather than trading.

SUBJECT: Exclusive Agency Ag{eement/ worldwide Trading Corporation
ias passed along the above referenced agreement for my review 67¢.
and comment. As a result of my review, I would like to point out the
following problem areas in the agreement: L
1. Assuming minimum offers are made to Gold Kist this agency
relationship is for a term of eleven years.
2. As a result of the exclusivity of the agency relationship,
commissions would be due and payable on all sales by Gold Kist
to Libya. It is unclear from the agreement whether this includes
merely sales to the government or to other enterprises in Libya.
3. The basis for commission's computation is the total sales
prices as evidenced by the amounts referred to in letters of
credit for these sales.
4. Section 2.A. seems to imply that the agent will be representing
Libya as well as Gold Kist. This is not legally permissible.
5. Section 3.A. should be a covenant by the agent instead of by
the principal. Section 3.B. requests certain technical information
and data. what if requested information is unavailable?
6. Section 4 describing the term as one year is in conflict with
the renewal provisions.
7. I am not sure what the phrase in gross" means as it appears
in Section 5. _
8. There is no limiting language in Section 5 regarding the
authenticity or reasonableness of any orders which are to be sub-
mitted by Libya. It appears that the agent could continue the
agreement by having the Libyan government submit ridiculous
or outrageous orders.
9. The last sentence of Section 7 is out of place.
10. we need to know more about the two corporations referred to in
this agreement, namely RLS Enterprises and Worldwide Trading Corporation.
I find it somewhat strange that Jewish concerns will be dealing
directly with the Libyan government. An inquiry into this relationship
may produce additional useful information. As you can gather from my
comments above, I strongly suggest that major modifications be made to
the agreement before we should ever consider entering into such an

SUBJECT: Worldwide Trading Corporation
Subject company has proposed an exclusive agency agreement copy attached!
for representation of Gold Kist in Libya. The cogent points of the agree-
ment as proposed are:
1. Commission to vary between 1-1/2 and 2-1/2 percent certainly
usual for that part of the world!.
2. Term of one year but automatically renewed for the next 10 years
if Gold Kist is given a "look" at a minimum of $100 million of
business each year.
The principles involved, with the small amount of information we have on
them, follow: 4
No disbarment proceedings have been instituted against any of the above.

Inc. When asked about the proposed agreement between World

_ IThis is to help to introduce to you Gold Kist Inc., a large multi-product agricultural cooperative with headquarters in Atlanta,Georgia. Our farmer embers are producers and we are marketers,both in the domestic and export channels, of a range of commodities,including poultry, peanuts, soybean meal, soybean oil, and feedgrains. Total company volume during the fiscal year just ended was$1.7 billion and we expect volume for the current fiscal year toexceed $2 billion. an important portion of this volume was forexport. ' _
Gold Kist is the largest fully-integrated processor of poultry withllaughter of approximately 1million head per day. The.cooperativeis also the largest handler and sheller of peanuts in the UnitedStates, and the only handler/sheller operating in all three producingareas. With a crush of about 5,000 tons of soybean per day, GoldKist is the largest cooperative crusher in the United States. Sincewe have been exporting for a number of years and maintain our own _traffic and documentation section, we are fully familiar with andcapable of handling all shipping and documentation matters.6/

who first contacted him by telephone but that in all likelihood

nature t p ace either on the phone or in person in passing
and that there was no correspondence which passed between
he or Carter and Coleman. He indicated that this was Billy's
usual way of doing things, on an informal basis.

of the conversation regarding Billy's request for help from 457¢

on Monday, January 8, 1979, there is the notation, foreign
delegation, and a line through the 9th and l0th dates,
then on Thursday, January ll, 1979, the notation, Plains -
Americas", then a squibble to the l2th of January with the
word, return. ~

Airport and that from the airport the group then.traveled 67c_
to the Hilton Hotel in downtown Atlanta. He stated that
Billy and his wife as well as Randy Coleman and Mark Fuller,
who subsequently became Billy's son-in-law, was also with
the group. There was a welcoming group at the Hilton and various
individuals from organizations in the business community
spoke although he himself did not speak to the group. He
»did meet and speak with many people but to none of them
in an official capacity in any way. He stated that subsequently
there was a banquet or "fancy get together" at the Hilton
Ballroom that evening. '

all probability, Billy or Randy had either rented or borrowed

the recreational vehicles and that the others in the vehicle
he cannot recall by name but one was a Libyan whom he believes
may have been a Minister of Tourism and another a Minister
of Economics and Commerce or something of that nature.

gentlemen's wives. Coleman was likewise in and out of
the vehicle at allPfimes;either driving or merely alightingfrom the vehicle. Etated that the group was touring

such. Be added that to his recollection he probably returned
early the morning of Friday, the 12th as he had an appointment
at 8:30 that morning in Atlanta at the office.

Mark Hulsey, Jr., an attorney representing this oil company.
Both Special Agents took notes during the interview
of Mr. Nasife and thereafter returned to the FBI Office.
These notes were reduced to a statement and the following

signed statement was to be mailed.

g The first time the subject of Libyan oil ever came
up between himself and Billy Carter was when Billy telephoned
him from California, where he was under treatment in a
_M w hospital, an said during their phone conversation something
like By the way, I think I can get an oil allocation or
allotment fro the Libyans.' This was March or April, 1979.
The second time when they met face to face and Libyan oil was

they felt somewhat responsible for his financial problems and
therefore they wanted to help him." These were the two
reasons and the only reasons or basis for Billy's having
told him that he could "get' Libyan oil in quantity over
and above the flow already being "lifted" to the United
States from Libya.
He asked Billy "two or three times" why he could
get the oil and those were the only reasons given.

President of Charter Crude Oil Company in Jacksonville,
Florida.
In this regard, he told Billy Carter "It's going
to take someone! in the Libyan National Oil Company to
provide" any increases in oil allocations to the United States.
He also mentioned Charter Oil to Billy. Thus, he
T was the person who brought Billy Carter and Louis Nasif of
Charter Crude, which is owned by Charter Oil Company, together.
He did so as Billy's friend, advisor, and becausehem formerly worked for Carey Energy, which 57;;

because he formed his own company, Hampton-Douglas Corporationf'
which deals with oil financing and because he was and still
is a paid consultant to Charter Oil on regular retainer.

The fourth meeting at which Libyan oil was
discussed between himself and Billy Carter was when Louis
Nasif, Billy Carter, Randy Coleman Billy's associate!,
and he all met at Columbus, Georgia, and discussed it.
Nasif was returning from overseas, and he mt him in New
York andthey flew down to the meeting together in a Charter
Company airplane. This was August 17, 1979.
Asked at this point what Coleman's involvement was
y with Billy, he stated: "I never heard of any business
relationship between them."

At this meeting, agreement of Billy's commission
was made in principle, but no contract between Billy and
Charter was signed.
One or two phone calls followed, but no oil was
ever delivered. Charter wrote Billy outlining the proposed
contract of from 5 to 55 cents per barrel of oil "on a
sliding scale" if the oil were "lifted." '
Six or eight phone calls later, "I became
disenchanted."
Asked in the interview what he told Nasif about
Billy's ability to produce oil above and beyond current
supplies at that time ld them

Asked at this point in the interview what his
personal financial expectations were, he said he anticipated
being compensated financially over and above his regular
retainer fee if Billy got Charter an oil increase over and
above what they were already getting.
In late June, 1979, he specifically recalls Billy
Carter telling him: "Hell, I think the Libyans know I don't
have any influence with the White House."
Billy never told him about his having received any
money from the Libyans, and "I never considered him as
representing an foreign! oil producing country.
