(1) This ac tion is hereby  DISMISSED without  cost and without prejudice to the
right, upon motion and good c ause shown, w ithin 60 day s, to reopen this ac tion if the settlement
is not consummated; and
(2)  I f any  party  shall move to set aside this Orde r of Dismissal as provide d in the
first para graph or  pursuant to the provisions of F ed. R. Civ. P. 60(b), in deciding  such motion the
Court retains jurisdiction of the matter  to the extent necessar y to enforc e the ter ms and conditions
of any  settlement enter ed into betwee n the par ties.
